These Terms and Conditions ("Terms") govern your access to and use of the Vriona platform at https://www.vriona.com, including our website, web application, desktop applications, APIs, and related services (collectively, the "Service"), operated by Vriona ("we", "us", or "our").
By creating an account, downloading our software, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility
You must:
- Be at least 18 years old
- Have the legal capacity to enter a binding agreement
- Provide accurate registration information
If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity, and "you" includes that entity.

2. Accounts and security
- You are responsible for maintaining the confidentiality of your login credentials
- You are responsible for all activity under your account
- Notify us promptly at support@vriona.com of any unauthorized access
- We may suspend or terminate accounts that violate these Terms or pose security risk

3. The Service
Vriona provides AI-assisted interview preparation and hiring tools, which may include:
- Mock interviews and adaptive questioning
- Coding rounds, scoring, and feedback
- Resume parsing and job-description matching
- Recruiter discovery and candidate visibility features (opt-in for candidates)
- Resume builder, job board, and related career tools
- Partner embed and API integrations
- Desktop applications for Windows and macOS
We may add, modify, or discontinue features at any time. We do not guarantee uninterrupted or error-free operation.

4. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, or harmful purposes
- Impersonate another person or misrepresent your qualifications
- Upload malware, scrape the Service without permission, or attempt to bypass security
- Cheat, collude, or interfere with interview integrity (including tab switching, unauthorized assistance, or proctoring evasion where prohibited)
- Reverse engineer, copy, or resell the Service except as expressly permitted
- Harass, abuse, or discriminate against others
- Use the Service to make employment decisions in violation of applicable labour or anti-discrimination laws
We may investigate violations and take action including content removal, score invalidation, suspension, or termination.

5. User content
You retain ownership of content you submit (resumes, code, answers, job descriptions, etc.) ("User Content").
You grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, process, and display User Content only as necessary to:
- Operate and improve the Service
- Provide AI evaluation, feedback, and matching features
- Enforce these Terms and maintain platform integrity
- Comply with law
For candidates who enable recruiter visibility, you also grant us permission to share permitted profile and score information with authorized HR users according to your settings.
You represent that you have all rights needed to submit User Content and that it does not infringe third-party rights or violate law.

6. AI-generated output
The Service uses artificial intelligence. AI-generated questions, scores, feedback, and match rankings are informational only. They may be incomplete or inaccurate.
- Do not rely on AI output as the sole basis for hiring, firing, promotion, or other high-stakes decisions
- Employers remain responsible for compliance with applicable employment and equal-opportunity laws
- We do not guarantee interview outcomes, job offers, or hiring success

7. Interview integrity and proctoring
Where proctoring is enabled, you consent to session monitoring features described in our Privacy Policy, which may include webcam, audio, tab-focus, or desktop environment checks.
We may terminate sessions, invalidate scores, or restrict accounts if integrity rules are violated.

8. Recruiter and HR terms
If you use HR, recruiter, marketplace, or enterprise features:
- You will use candidate data only for lawful recruitment purposes
- You will honour candidate consent and visibility settings
- You will not misuse contact information or harass candidates
- Billing, invoices, subscriptions, and per-unlock fees are governed by Section 11.9
- Enterprise or partner agreements may include additional terms that prevail over conflicting provisions in these Terms

9. Partner and API use
Partners integrating via API or embed must:
- Keep API keys confidential
- Comply with our integration documentation and rate limits
- Obtain valid consent from end users where required
- Not misrepresent Vriona branding or imply endorsement without approval
We may revoke API access for abuse or security reasons.

10. Desktop software
Desktop applications are licensed, not sold. Subject to these Terms, we grant you a limited, non-transferable, revocable license to install and use the desktop app for personal or internal business use in connection with the Service.
You may not redistribute, modify, or decompile the software except where law permits.
Updates may be delivered automatically. Third-party open-source components may be included under their respective licenses.

11. Credits, wallet, and payment terms
This section describes how pricing, credits, payments, and billing work on Vriona. Current prices are shown in the app (Wallet, Pricing page, or checkout) and may be updated from time to time.
11.1 Wallet credits
- Vriona uses a wallet denominated in Indian Rupees (INR)
- Unless stated otherwise at checkout, ₹1 = 1 credit
- Credits are used to pay for eligible paid features (interviews, coding rounds, resume builder, add-ons, etc.)
- Credits are not legal tender, not e-money, and have no cash value
- Credits are non-transferable between accounts and cannot be exchanged for cash, except where required by law
11.2 How credits are consumed
When you start a paid session, credits (or an eligible pack session) are deducted according to the price shown before you confirm. Deduction generally follows this order:
1. Monthly free allowance (if available for that feature and not yet used)
2. Active session pack (if you have remaining sessions of the applicable type)
3. Wallet balance
Once a paid session has started and credits or a pack session are consumed, that usage is final except as described in Section 11.8. We may invalidate usage and adjust balances if fraud, abuse, or integrity violations are detected.

11.3 Adding credits (top-ups)
You may add wallet credits by paying through our supported payment gateways (currently PhonePe and/or PayU, as enabled in your region).
- You authorize us and our payment partners to charge your selected payment method
- Credits are added to your wallet only after we receive successful payment confirmation from the gateway
- If payment fails, is cancelled, or times out, no credits are added
- We may set minimum and maximum top-up amounts and rate limits to prevent abuse
- Payment processing is subject to the payment provider's own terms and privacy practices
All amounts are in INR unless explicitly stated otherwise.
11.4 Session packs
You may purchase session packs that include a fixed number of interview sessions at a bundled price (e.g., 5-session or 10-session packs).
- Pack prices, included session types, and savings are shown at purchase
- Packs are valid for a limited period shown at purchase (for example, 30 days for the 5-session pack or 3 months for the 10-session pack, unless stated otherwise)
- Unused pack sessions expire when the pack expires; they do not roll over automatically
- Session packs are tied to your account and are non-transferable
- Some packs may include optional add-ons (e.g., suggested model answers in reports)
Packs may be purchased via payment gateway or, where offered, redeemed using wallet credits at the price shown at checkout.
11.5 Free tier and promotions
We may offer free or discounted usage, including:
- One free standard interview per calendar month (for eligible registered candidates)
- One free AI resume builder generation per calendar month (where enabled)
- Introductory or promotional pricing for first-time users
- HR-invited or partner-invited sessions billed to the inviting organization instead of your wallet
Free allowances reset monthly, do not accumulate as cash or credits, and may require a minimum wallet balance or account verification. We may change, suspend, or withdraw promotions at any time.
11.6 Referral credits
If you participate in our referral program:
- A referrer may receive bonus credits when a referred user signs up using a valid referral code (currently ₹50, subject to change)
- A referred user may receive welcome credits on signup (currently ₹25, subject to change)
- Referral bonuses are credited only when eligibility rules are met (e.g., verified signup, no self-referral, device/phone checks)
- We may cap total referral rewards per user (currently 50 referrals per referrer)
- Referral credits are promotional, have no cash value, and may be reversed if obtained through fraud or abuse
Unless stated otherwise, referral and promotional credits do not expire while your account remains in good standing.
11.7 Pricing changes
We may change prices, pack definitions, free-tier limits, or referral amounts at any time. Changes apply to future purchases and sessions. Prices confirmed at checkout for a specific transaction are honored for that transaction.
11.8 Refunds, cancellations, and chargebacks
General rule: Payments for digital services, wallet top-ups, and session packs are non-refundable once credits are added or a pack is activated, except:
- Where a duplicate charge or technical error on our side prevented delivery of purchased credits or pack sessions
- Where a refund is required by applicable Indian consumer protection law
- Where we explicitly approve a refund in writing
We do not refund credits or pack sessions already used for completed or started sessions, including sessions terminated for integrity violations.
If you dispute a charge with your bank or payment provider (chargeback) without contacting us first, we may suspend your account, reverse associated credits, and recover amounts owed.
To request a billing review, email support@vriona.com within 7 days of the transaction with your registered email, transaction ID, and description of the issue.
11.9 HR, partner, and enterprise billing
If you use Vriona as an employer, institute, or integration partner:
- Fees may be charged on a subscription, per-seat, per-interview, per-unlock, or post-paid invoice basis as agreed at signup or in your order form
- Invoices are typically issued monthly with payment due within 15 days unless otherwise agreed
- Late payment may result in suspension of paid features, API access, or embed functionality
- Volume discounts, credit limits, and custom pricing may apply under enterprise agreements
- GST or other applicable taxes may be added as shown on your invoice
Partner revenue-share, placement bonuses, and institute payouts (where applicable) are governed by separate partner agreements and tax documentation requirements.
11.10 Taxes and invoices
Candidate-facing prices displayed in the app are generally GST-inclusive at the applicable rate (currently 18% GST in India) unless stated otherwise at checkout.
For business customers, tax treatment depends on your billing profile and invoice details. You are responsible for providing accurate billing and tax information.
11.11 Account closure and unused balances
If your account is closed or terminated:
- Unused wallet credits and unexpired pack sessions are forfeited unless we are required by law to provide a refund or cash settlement
- We may retain transaction records as required for accounting, tax, and legal compliance

12. Intellectual property
The Service, including software, design, logos, documentation, and question banks (except User Content), is owned by Vriona or its licensors and protected by intellectual property laws.
You may not use our trademarks without prior written permission.

13. Third-party services
The Service may integrate with third-party providers (e.g., cloud hosting, authentication, payment gateways, AI models). Your use of those services may be subject to their terms. We are not responsible for third-party services.

14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or free of errors, or that AI outputs will be accurate or suitable for your purposes.

15. Limitation of liability
To the maximum extent permitted by applicable law:
- Vriona and its officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunity
- Our total liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) INR 5,000
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

16. Indemnification
You agree to indemnify and hold harmless Vriona from claims, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your User Content
- Your violation of these Terms or applicable law
- Your misuse of candidate or employee data

17. Suspension and termination
We may suspend or terminate your access at any time if you violate these Terms or if required for security or legal reasons.
You may stop using the Service at any time. Upon termination, rights granted to you cease, but sections that by nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and payment terms) will survive.

18. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles.
Any dispute arising out of these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India, unless applicable law requires otherwise.
Before filing a claim, you agree to contact us at legal@vriona.com and attempt to resolve the dispute informally within 30 days.

19. Changes to these Terms
We may update these Terms from time to time. We will post the updated version and revise the "Last updated" date. Material changes may be notified by email or in-product notice. Continued use after the effective date constitutes acceptance.
